Bylaws

1. Organization name

The organization is named the “Team Taiwan Foundation”

2: Mission

The mission of this organization is to operate as a charitable entity dedicated to supporting education, fostering cultural exchange, engaging with the community through social activities, providing civic services, and collaborating with other Taiwanese American Organizations to support Taiwan.

3: Membership

  1. Individuals residing in the United States who endorse the organization’s mission can apply for membership in the Team Taiwan Foundation.
  2. Members must adhere to the organization’s bylaws and pay membership dues as determined by the Board of Directors.
  3. Each adult member (aged 18 and above) can vote, run for office, or be elected. Voting is on a one-person, one-vote basis, and proxy voting is permitted.
  4. Members found to violate the organization’s bylaws may have their membership revoked by a vote of over two-thirds of the Board of Directors following a review.
  5. Annual Membership Fee of $10 per person, renewable at the end of each calendar year.

4: Structure

  1. The General Assembly serves as the highest authority within the organization, while the Board of Directors acts as the executive decision-making body, consisting of 5-9 directors. Directors serve a two-year term and may seek re-election.
  2. The Board of Directors will appoint a president, vice president, secretary-general, and treasurer.
  3. The president serves a two-year term and may be re-elected once. In the event of a breach of the bylaws or engagement in illegal activities, the president may be removed by a vote of over two-thirds of the Board of Directors.
  4. The president is in charge of external relations and convening board meetings. In the president’s absence, the vice president will act on their behalf. The board of directors oversees all activities related to the association. Any activities unrelated to the association require the approval of the president and the board of directors with a 2/3 vote on participation. The secretary is responsible for maintaining document records, and other business requested by the president. The treasurer manages financial matters, including the custody of membership dues.
  5. The General Members’ Meeting must convene at least once annually, and the Board of Directors should meet at least twice a year. Any meeting can be conducted in person or online setting.

5: Constitution Effectiveness and Amendment

The association’s constitution can be ratified online, by mail, or by in-person voting at the annual meeting. It will become effective upon approval by over 2/3 of the members.
